Membership Agreement

As a new member of The Helm Holdco, Inc., please confirm your acceptance of the below statements. Acceptance of the below is a requirement of admission.

Confidentiality*

I agree to keep all information provided to me by The Helm with respect to any potential investment opportunities confidential.

For purposes of this Agreement, “Confidential Information” shall include any information obtained, observed, or witnessed by you, which is not publicly known. This may include, but is not limited to, audio, video, and printed materials, trade secrets, plans for future development, portfolio companies, client databases, client lists, investor lists, investor information, suppliers, projections, roadmaps, financials, and media strategies, as well as information provided or presented by The Helm, its affiliates or potential portfolio company investment opportunities.
The “Confidential Information” of a party shall not include and the obligations herein shall not apply to information or data which: was generally available to the public at the time of receipt, or thereafter to have become generally available to the public; or is known to you on a non-confidential basis prior to its receipt from The Helm; or was disclosed publicly with the prior written consent of The Helm; or becomes known to you from a source other than The Helm without breach of this agreement by you; or was required to be disclosed pursuant to law; or was developed independently by personnel of yours who had no substantive knowledge of Confidential Information at the time of its independent development.

Liquidation*

I understand that there is no market or liquidity for these securities. I will plan to hold my investment for a significant period of time before a “liquidation event” occurs.

A “liquidation event” is when the company either lists their securities on an exchange, is acquired, or goes bankrupt.

Diligence*

I understand that I must read the diligence information provided, consider the risk factors and review the documents prior to agreeing to invest.

Risk*

I understand investing is highly speculative and should not be made by anyone who cannot afford to risk the entire investment amount.

Ownership*

I understand that my percentage ownership in a start-up will change over time as the start-up accepts additional investors and my ownership percentage is diluted.

Losses*

I understand that The Helm is not responsible for losses or missed opportunities.

Directory*

I understand that I will have access to the Helm membership directory. I agree that I will not use or sell this information for any unauthorized purpose.

Soliciting*

I agree that I will not directly or indirectly solicit, induce, recruit or encourage any of The Helm’s employees to leave their employment, or take away such employees, or attempt to solicit, induce, recruit, encourage, take away or hire employees of The Helm, either for him/herself or any other person or entity.

You also agree not to divert or attempt to divert from The Helm any business of any kind, including without limitation the solicitation of or interference with any of its customers, clients, members, investors, business partners or suppliers.

Statements*

I agree that I will not disparage, criticize or make statements which are negative, detrimental or injurious to The Helm.

Fees*

I understand that I will be automatically charged the fee indicated above on an annual basis and that The Helm will inform me of any changes in fees before charging my card for the next payment. I understand that I can cancel my annual subscription at any time.

Membership Agreement*

I certify that I have read, understand, and agree with all of the above statements and that I consent to the terms and conditions of this Membership Agreement. Failure to answer truthfully to each of the above statements or failure to abide by the statements will result in removal from The Helm membership directory and may subject me to other liability.
